M&M International's Warranty
M&M International, LLC (hereinafter “M&M International”) and its duly Authorized Distribution Partner and/or Authorized Repair Facility (hereinafter “Partner”) offer this exclusive warranty, which shall apply to the sale and repair of all M&M International products. Any warranty contained in master service agreements, purchase orders, requests, or other documents shall be expressly superseded by these warranty terms.
M&M International warrants that the products sold by M&M International or its Partner to Customer hereunder shall: (i) conform to the specifications and descriptions listed on the invoice by M&M International or its Partner to the Customer, or if none are listed, then to M&M International's standard specifications for such products, and (ii) be free of material defects in material and workmanship at the time of shipment from M&M International’s facility or its Partner’s facility, and thereafter for a period of eighteen (18) months from the date of delivery to the Customer or twelve (12) months from the date of installation of the product, whichever is earlier.
The above warranty does not apply to (i) used products that have been repaired or worked over; (ii) products that have been modified or subjected to improper handling, storage, installation, operation or maintenance, including use of unauthorized replacement parts; (iii) component parts or materials not manufactured by M&M International, whether purchased by M&M International or furnished by Customer, such parts or materials being subject to any applicable manufacturer's warranty; (iv) products, or parts thereof requiring replacement because of natural wear and tear; (v) the design of products; and (vi) models or samples furnished to Customer as illustrations only of general properties of the products of M&M International.
For any products that have been repaired or worked over by M&M International or its Partner, M&M International and its Partner warrant for a period of thirty (30) days from the date of delivery of such repaired or worked over product to the Customer by M&M International or its Partner that such repaired or worked over product will be free from defects in workmanship. The warranty for repaired or worked over products expressly assumes that parts normally considered consumables (including, but not limited to, rubber goods, springs, seals (rubber, polymer, and/or metallic) and/or bearings) are replaced during repair or work over. If Customer requests that such parts not be replaced, M&M International and its Partner hereby disclaim any warranty for said repaired or worked over products and no such warranty shall be provided or recognized by M&M International or its Partner.
The sole and exclusive liability for breach of this warranty by M&M International or its Partner is expressly limited to, at their sole option, the repair or replacement, EXW M&M International’s facility or its Partner’s facility, of products which prove to be defective during the warranty period or a refund of the consideration attributable to the defective products. In no event shall M&M International’s or its Partner’s liability for breach herein exceed the purchase price of such products and the defective products must be returned to M&M International or its Partner for inspection and analysis in order for this warranty to be effective. If any products are altered after shipment to Customer, all warranties (including those contained herein) shall be null and void.
M&M International and its Partner do not offer any other warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
